1. Overview and Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Customer", "User", or "you") and FOP Volodymyr Kopach ("Company", "we", "us", or "our"), regarding your purchase, download, installation, and use of the Logopsis software application ("Software", "Product") and associated services.

By purchasing a license, downloading, installing, or using Logopsis, you expressly agree to be bound by these Terms. If you do not agree with any part of these Terms, you must not purchase or use the Software.

2. Description of Software (Product)

Logopsis is a desktop graphical user interface (GUI) application designed for macOS and Windows operating systems. It provides developer-focused productivity features, including multi-column conversation management, persistent canvas layouts, declarative plan tracking, and structured visual rendering of conversational data ("ChatUI" widgets).

3. Bring Your Own Key (BYOK) Architecture and Third-Party AI Disclaimers

Logopsis is provided strictly as a client-side interface tool under a Bring Your Own Key (BYOK) model.

• No Reselling of AI Compute or Tokens: Logopsis does NOT resell, bundle, or proxy access to third-party artificial intelligence models, API credits, or token subscriptions.
• Customer-Supplied Credentials: To interact with AI models (such as Claude, GPT, or Gemini), users must supply their own authorized API keys or utilize their own locally installed command-line interfaces (e.g., Anthropic Claude Code CLI, Antigravity CLI).
• Local Storage: All user-provided API credentials and conversation histories are stored exclusively on the user's local hardware and are never transmitted to or logged by our servers.
• Independent Status: Logopsis is an independent developer interface and is not affiliated with, endorsed, sponsored, or certified by Anthropic, PBC, OpenAI, Inc., or Google LLC. "Claude", "ChatGPT", and "Gemini" are trademarks of their respective owners.

4. Subscription License Grant and Permitted Use

Upon active subscription to Logopsis, we grant you a personal, non-exclusive, non-transferable, non-sublicensable license to:

• Install, activate, and run the Software on up to three (3) personal devices concurrently owned or operated by you for personal or commercial productivity purposes.
• Receive continuous feature updates, AI connectors, bug fixes, and performance improvements for the entire active duration of your subscription.

Restrictions: You agree not to reverse engineer, decompile, disassemble, redistribute, rent, lease, sublicense, or create derivative works based on the binary distribution of Logopsis.

5. Pricing, Subscription Plans, and Billing

All orders and recurring subscriptions are processed through our online reseller and Merchant of Record, Paddle.com. Paddle handles secure recurring card payments, PayPal, Apple Pay, applicable sales tax, VAT, and invoicing in compliance with global regulations. Prices are stated in United States Dollars (USD) and exclude local taxes, which are calculated and displayed at checkout by Paddle.

Automatic Renewal and Cancellation: Subscriptions automatically renew at the end of each billing cycle (every month or every year) unless cancelled prior to the renewal date. You may cancel your subscription renewal at any time via the Paddle Buyer Portal (paddle.net) or by contacting our support team at kpchvldmr@gmail.com. Upon cancellation, your subscription remains active until the end of your prepaid period, and no further recurring charges will occur.

6. Digital Delivery and Fulfillment

Logopsis is delivered 100% digitally. Immediately upon successful payment authorization through Paddle:

1. An order confirmation email is automatically sent to the email address provided during checkout.
2. The email contains your unique Software License Key and direct download links for macOS and Windows installer packages.
3. Delivery is typically instantaneous (within 1 to 5 minutes of payment completion).

7. Refunds and Cancellation Policy

We stand behind the quality of Logopsis. We offer an unconditional 14-Day Money-Back Guarantee. If you are unsatisfied with the Software or experience technical incompatibilities, you may request a 100% refund within fourteen (14) calendar days of your purchase date.

8. Intellectual Property Rights

All rights, title, and interest in and to the Logopsis software, including source code, UI designs, brand marks, and documentation, are and will remain the exclusive property of FOP Volodymyr Kopach and its licensors.

9. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SOFTWARE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SOFTWARE WILL OPERATE UNINTERRUPTED OR ERROR-FREE.

10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL FOP VOLODYMYR KOPACH OR ITS SUPPLIERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, DATA, OR USE, ARISING OUT OF OR IN CONNECTION WITH THE SOFTWARE. OUR TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE AMOUNT ACTUALLY PAID BY YOU FOR THE SOFTWARE LICENSE.

11. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of Ukraine, without regard to its conflict of law principles. Any dispute arising out of or related to these Terms shall be submitted to the competent courts of Ukraine, subject to mandatory consumer protection laws applicable in your country of residence.
